Please read these terms carefully before using WideAngle.

Agreement to Terms

By accessing or using WideAngle, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our service.

1. Service Description

WideAngle provides digital contact card and event networking solutions, including:

  • Digital business card creation and QR code generation
  • Apple Wallet and Google Pay pass generation
  • Event management and attendee tracking
  • Analytics and engagement metrics
  • Contact information sharing and management

2. Account Registration

2.1 Account Creation

To use WideAngle, you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your account information

2.2 Account Responsibility

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your password
  • Notifying us immediately of any unauthorized access
  • Ensuring compliance with these Terms by anyone using your account

3. Acceptable Use

3.1 Permitted Use

You may use WideAngle for lawful business purposes, including:

  • Professional networking and contact management
  • Event organization and attendee management
  • Lead generation and business development
  • Conference and trade show management

3.2 Prohibited Activities

You must NOT:

  • Use the service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction (including privacy laws)
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Scrape, harvest, or collect user data without permission
  • Send unsolicited commercial messages (spam)
  • Impersonate another person or entity
  • Interfere with or disrupt the service
  • Use the service to compete with or replicate our offering
  • Share your account credentials with others

4. Data Ownership and Privacy

4.1 Your Data

You retain ownership of all data you upload to WideAngle, including:

  • Event information and attendee data
  • Contact information and business cards
  • User-generated content and customizations

4.2 Data Controller Responsibilities

As an event organizer, you are the data controller and must:

  • Obtain proper consent from attendees to process their data
  • Comply with GDPR, CCPA, and other applicable privacy laws
  • Provide attendees with privacy notices
  • Handle data subject access requests (DSARs) for your attendees
  • Only upload data you are legally authorized to process

4.3 WideAngle as Data Processor

WideAngle acts as a data processor on your behalf and will:

  • Process data only according to your instructions
  • Implement appropriate security measures
  • Assist with data subject requests when possible
  • Notify you of any data breaches within 72 hours
  • Delete or return data upon request or contract termination

5. Intellectual Property

5.1 Our IP

WideAngle and its original content, features, and functionality are owned by ContactSolution and are protected by international copyright, trademark, and other intellectual property laws.

5.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use WideAngle for your internal business purposes, subject to these Terms.

5.3 Restrictions

You may not:

  • Modify, copy, or create derivative works
  • Reverse engineer or decompile the service
  • Remove or alter any proprietary notices
  • Use our trademarks without written permission

6. Payment and Billing

6.1 Pricing

Pricing for paid plans is available at contactsolution.io/pricing and may be updated with 30 days notice.

6.2 Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payment is due immediately upon subscription or renewal
  • All fees are non-refundable except as required by law
  • Failed payments may result in service suspension

6.3 Free Tier

Our free tier is subject to usage limitations and may be modified or discontinued at any time with reasonable notice.

7. Service Availability

7.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

7.2 Service Modifications

We reserve the right to:

  • Modify or discontinue features with reasonable notice
  • Update system requirements
  • Implement new features or restrictions

8. Termination

8.1 By You

You may terminate your account at any time through your account settings. Upon termination:

  • Your access will be revoked immediately
  • Data will be deleted within 30 days (after a grace period)
  • No refunds will be provided for unused subscription time

8.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Fail to pay subscription fees
  • Abuse the service or harm other users

9. Disclaimers and Limitations of Liability

9.1 "AS IS" Service

WideAngle is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free service

9.2 Limitation of Liability

To the maximum extent permitted by law, ContactSolution and its affiliates shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or data loss
  • Actions of third parties or users

Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ContactSolution, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

  • Your use of WideAngle
  • Violation of these Terms
  • Violation of any rights of another party
  • Your data or content uploaded to the service

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.2 Dispute Resolution

For disputes arising under these Terms:

  • First, contact us at legal@outreachpass.com to resolve informally
  • If unresolved, disputes shall be settled by binding arbitration
  • Arbitration will be conducted by the American Arbitration Association (AAA)
  • Each party bears its own costs unless otherwise determined by the arbitrator

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

12. Changes to Terms

We may modify these Terms at any time. Changes will be effective:

  • Immediately upon posting for non-material changes
  • 30 days after notice for material changes

Your continued use after changes constitutes acceptance. If you don't agree, you must discontinue use and terminate your account.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WideAngle.

13.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

13.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

13.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
